Terms of Service

1. Parties

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”) and Veridico Pte Ltd (UEN: 202505745R), a Singapore-incorporated private limited company with registered address at 21 Tan Quee Lan Street, #02-04 Heritage Place, Singapore 188108 (“Veridico”, “we”, “us”). PropVault is the consumer-facing product brand operated by Veridico.

By creating a PropVault account you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Service Description

PropVault is a property portfolio management software-as-a-service (“SaaS”) designed for Singapore landlords. It provides tools to track properties, tenancies, loans, valuations, expenses, and documents; to generate cashflow summaries; and to extract structured data from property-related documents using AI. The service is provided “as is” without warranty of any kind except as expressly stated herein.

3. Account & Eligibility

• You must be at least 18 years of age to create a PropVault account.
• You must provide accurate, complete, and current information when registering.
• Each individual may hold one account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us immediately at hello@propvault.biz if you suspect unauthorised access to your account.

4. Acceptable Use

You agree not to:

• Upload documents you do not have the legal right to upload or process (e.g., documents belonging to third parties unrelated to your own property portfolio);
• Use PropVault to maintain databases of tenant or counterparty personal data beyond what is reasonably required for your own property management activities;
• Attempt to circumvent Row Level Security controls, probe other users' data, or reverse-engineer PropVault's backend systems;
• Scrape, crawl, or otherwise abuse the AI document extraction quota or any PropVault API endpoint at a rate that degrades service for other users;
• Use PropVault for any unlawful purpose or in violation of any applicable Singapore law or regulation.

5. Subscription & Billing

All accounts are currently on the free plan. No charges apply at this time. Once Stripe billing is activated, the following terms will apply:

• Subscription fees are denominated in Singapore Dollars (SGD) as published on the Billing page;
• Subscriptions are billed monthly and renew automatically;
• You may cancel at any time via the Stripe billing portal; cancellation takes effect at the end of the current billing period and you retain access until then;
• Refunds are at Veridico's discretion and will be considered for clear billing errors reported within 14 days of the charge.

6. Intellectual Property

You retain full ownership of all documents, property records, and data you upload to PropVault. By uploading, you grant Veridico a limited, non-exclusive licence to process and store that content solely for the purpose of delivering the service to you.

Veridico grants you a non-exclusive, non-transferable licence to access and use PropVault for your personal property portfolio management for the duration of your subscription. This licence does not permit sublicensing or commercial resale.

Veridico may use aggregate, de-identified usage statistics (for example, “average number of properties per landlord”) for product improvement and external publication without identifying any individual user.

7. AI Extraction Disclaimer

PropVault uses AI (Anthropic Claude) to extract structured data from uploaded documents. Extracted fields are best-effort and may be incomplete or incorrect. You are responsible for reviewing all AI-extracted data before relying on it for tax, contractual, legal, or financial decisions. Veridico makes no warranty as to the accuracy or completeness of AI-extracted content.

8. Limitation of Liability

PropVault is provided “as is” and “as available” without warranty of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by Singapore law.

Veridico's aggregate liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the total fees paid by you to Veridico in the 12 months preceding the claim, or SGD 100 if you are on the free plan, whichever is greater. This limitation does not apply to liability arising from gross negligence, fraud, or any matter that cannot be limited under Singapore law.

9. Indemnification

You agree to indemnify and hold harmless Veridico and its officers, directors, and employees from any third-party claims, damages, costs, and expenses (including reasonable legal fees) arising from (a) your use of PropVault in violation of these Terms; (b) documents or data you upload that you did not have the right to upload; or (c) your violation of any applicable law or third-party right.

10. Termination

By you: you may delete your account at any time via the Account page. A 30-day grace period applies before permanent deletion, during which you may cancel the request.

By Veridico: we may suspend or terminate your account for material breach of these Terms, illegal use, or — once billing is active — non-payment, with reasonable prior notice unless the breach is a security or abuse incident requiring immediate action.

Upon termination, your licence to use PropVault ceases immediately. The data-deletion process in §5 of the Privacy Policy applies.

11. Changes to These Terms

We will notify you of material changes by email and via an in-app banner at least 14 days before the changes take effect. Your continued use of PropVault after that date constitutes acceptance of the revised Terms. Non-material changes (corrections, clarifications) will update the “Last updated” date without notice.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Singapore. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules in force at the time of the dispute. The seat of arbitration shall be Singapore. The language of arbitration shall be English. Either party may seek interim injunctive relief from a Singapore court without waiving the right to arbitration.
